About Us

History

The Good Ole Boys Junior Bassmaster Club (GOBJB) was officially founded on January 30, 2007 at the Central Square Fire Station located in the small village of Central Square, New York and received its 501 (c)(3) Federal Tax Exempt certification on April 16, 2009.

Charter Members

The Good Ole Boys Junior Bassmasters operates similar in principal to all the other Junior/SAF High School Clubs across the United States and mirrors the identical operational platform of our adult clubs.  Properly structured under the umbrella of the National TBF (The Bass Federation) and SAF (Student Angler Federation), our GOBJB club is sponsored by our adult affiliate (None Club).  The TBF (The Bass Federation) and SAF (Student Angler Federation) is the largest and oldest organized grassroots Fishing – Youth & Conservation Organization in North America with more than 20,000 members.

The GOBJB club is a recognized TBF & SAF Club in New York State.  The GOBJB members are led by Club’s founder and Sr. Advisor Dom Maio.  As an active member of the TBF, Dom acts as an overseer, mentor and educator for our Club.  Many of the how-to clinics conducted monthly include educational workshops on good fishing ethics, catch and release techniques along with habitat and conservation restoration programs.  Our GOBJB club actively competes in club tournaments, state tournaments and qualified divisional & national tournaments along with many fund raisers, adopt-a-waterway projects, Canal-Clean Sweep , Earth Day, charitable programs and community service projects.

Overview / Summary

Youngsters not only learn how to properly catch fish, but also learn how to manage their own Club through parliamentary procedures … through educational workshops … through “how to” clinics and more importantly engage in hands-on activities with their Club Youth Director, other mentors and educators.

Competition is just one of the many goals for our “Junior Athletes”.  Add to that, conservation, habitat restoration, adopting waterways, community service projects, preserving the wholesome recreational sport of fishing and most importantly, having fun!

Leadership is one of the most prevalent attributes we instill in our youngsters as they control and operate their club and all of the associated activities while the adults are overseeing and guiding their moves. This junior club operates similar to many adult clubs, utilizing the identical format and procedures.  The youngsters are encouraged to bring new ideas to each meeting, discuss them and vote on them to decide if they should be adopted.

Membership Benefits

The benefits of being a fully paid up member in good standing begins with a liability insurance coverage for up to 1 million dollars to cover all the scheduled meetings, tournaments and all other associated events.  Members will be  eligible to compete in all (TBF & SAF) National & Federation sponsored Tournaments, all N.Y.S. (TBF & SAF) Sponsored Tournaments, all locally scheduled Club Tournaments and activities as well as scholarship awards and more.

Club Election of Officer

The club positions of President, Vice President, Secretary, Treasurer and Tournament Director are offices that will be voted on by the active club members each year for every upcoming season.  The term for each office is one year.

Meetings

The GOBJB meet evenings at 7PM on the last Tuesday of every month at the Central Square Fire Station which is located at the intersections of State Route 11 and State Route 49 in Central Square, New York. For further information about our Bassmaster Club, please contact our GOBJB Youth Director Michael Arndt or Founder & Senior Advisor Dom Maio using the links at the bottom of this page.

There are about two (2) exceptions each year when we may elect to schedule a Shore-Line Tournament on a given Tuesday meeting night.  When this occurs, we have an on-site club meeting at the conclusion of the Tournament night to briefly review any important issues that need to be discussed.

Membership

The total cost or annual dues for the GOBJB membership is $50.00 each year.  We ask that each youngster join the National TBF Federation, so that we can automatically send the Federation $25.00 of your membership dues.  This $25.00 fee covers each junior with a $1 Million Dollar Liability Insurance during all authorized tournaments, club functions and activities. Additionally, another $5.00 dollars is sent to the New York State Junior TBF / SAF Federation which allows each youngster to compete in either the Junior Divisional or the High School Divisional (based on age) each year. The remaining $20.00 is retained in our Club treasury, which permits us to cover a small portion of the annual operating expenses such as Club banquet, food, plaques, trophies, tournament equipment, etc.

 

Club Format

The GOBJB operates similarly to all the other TBF Junior affiliated Clubs across the United States.  This GOBJB Club is uniquely organized into three (3) age groups; (1) The Minnows Division, (2) The Junior Federation (3) The Student Angler Federation.

The “Minnow Division” is an inner club division specifically designed to work with youngsters who are not yet old enough to be a part of the Junior Federation.  This division is made up of youngsters whose ages are 10 years old and/or younger.  They will be fishing from the shoreline or (if scheduled) in a rowboat using a single hook (no trebles) and also with “live bait” such as worms, crabs, minnows, etc.  This enables each youngster a much better opportunity to catch fish which also helps them to retain a reasonable level of interest.  They are not allowed to fish out of  full-size bass boats until they have reached 11 years of age.

 

The “Junior Federation” is made up of boys and girls whose ages range from 11 to 15.  They compete using any type of hook including treble hooks and cannot use live bait … only artificial lures.  They are guided and instructed on the use of these hooks and lures accordingly, based on their respective knowledge & experience.

 

The “Student Angler Federation” is our High School program made up of boys and girls who have or are attending 9th, 10th, 11th and 12th grade in school and whose ages range from 15 to 18, and have not reached the age of 19.  They also compete using any type of hook including treble hooks and cannot use live bait … only artificial lures.  They too are guided and instructed on the use of these hooks and lures accordingly, based on their respective knowledge & experience. All of our club meetings are held on the last TUESDAY NIGHT of every month at the Central Square Fire Station, in Central Square, New York at 7:00 PM.  The Fire Station is located at the intersection of State Route 11 and State Route 49.  Because our members attend school, we generally try to keep our meetings limited to one hour in length. The purpose of the Good Ole Boys Junior Bassmasters is to promote, stimulate and encourage youngsters in the art of bass fishing, through the education of proper techniques, ethics, and sportsmanship.

Club By-Laws

Good Ole Boys Junior Bassmaster’s Constitution & By-Laws

Article I: ORGANIZATION

Section 1: Name:

This Organization, registered as a Junior Chapter with TBF / SAF, shall be known as the

GOOD OLE BOYS JUNIOR BASSMASTERS

Hereinafter referred to as the “Junior Club” or “GOBJB”.

 

Section 2: Sponsor:

The Sponsoring Chapter of the GOBJB will be the senior “TBF None Club” of New York referred to as (None).

 

Section 3: Reports To:

The GOBJB shall be overseen by the President or Youth Director of the None.

 

Article II: PURPOSE AND POLICY

This Junior Club is organized and exists;

1. To represent youth fishermen within the Junior Club and TBF Federation’

2. To formulate policy not inconsistent with the FLW,

– The Bass Federation of New York  (NYTBF),

– the Junior Bass Federation of New York (NYJTBF),

– the Student Anglers Federation of New York  (NYSAF) and the

– New York State Department of Environmental Conservation.

 

The Junior Club is dedicated to;

1. Work with None Club, the NYJTBF, the NYTBF and the NYSAF to promote and pass on our sport of bass fishing.

2. Assist the None Club Youth Director.

3. Assist other Junior Chapters in forming and developing.

4. Demonstrate that even as youth, we can “Make A Difference”.

 

Article 111: MEMBERSHIP

Section 1: Member/s in Good Standing

A “Member in Good Standing” is defined as person/s:

(a) who is eighteen (18) years of age or younger.

(b) who is a member of the The Bass Federation (TBF), Student Angler Federation (SAF) .

(c) who is a member of an organized Junior Chapter affiliated with the The Bass Federation (TBF), Student Angler Federation (SAF).

(d) whose GOBJB Club dues of $50.00 are not delinquent. Said dues shall be submitted to the Junior Federation Membership Secretary by January 1st of each calendar year.

Upon the meeting of the above conditions, a Member in Good Standing will be issued a Membership Card.

 

Section 2: Honorary Member

Any person, who for any dedicated service to NYJTBF above any normal standard, may be deemed an Honorary Member by the Executive Committee.

 

Section 3: Adult Member

Any adult who is a member of an organized Senior Chapter as part of the New York TBF Junior Federation affiliated with NYTBF, and is a Youth Director for their chapter.

 

Article IV: ORGANIZATION

Section 1: Chapters (Clubs)

Any group of six (6) or more persons organized for the express purpose to function as a dynamic and effective link with other Chapters embracing our purpose and policy. These Chapters being first chartered by The Bass Federation (TBF) and consisting of six (6) or more New York Junior Chapter Club members, one of which is the President.

(a) Chapter Affiliation

Each Junior Chapter formed with NYJTBF shall affiliate with NYTBF. Their membership list is due to the Junior Federation Membership Secretary by January 1st of each calendar year.

 

Section 2:  Board of Directors

This board shall consist of one (l) member of each Junior Chapter, which shall be the President or an elected member of their Junior Chapter, who shall also be a member in good standing of the Junior Federation.

This board shall have the power and authority to transact the business of the Junior Federation.

(a) Voting Member

The voting member shall be the President or elected member of their chapter to said board.

Voting shall be weighted, one (l) vote per member in good standing of the Junior Club.

1. A Chapter President (Director) must be a paid-up individual member of the Junior Club in order to have voting power at Junior Federation meetings. Any designated member must also be a paid-up member of the Junior Federation in order to carry a vote.

 

Section 3: Officers

The officers of the Junior Club shall be: President, Vice-President and Tournament Director. Term of office shall be for one year coinciding with the Calendar Year.

 

Section 4: Committees

Committees and their directors may be organized as necessary to fulfill specific duties and special projects of the Junior Club. The committee/s directors are appointed by the Junior Club President and approved by the Junior Executive Committee. Their term shall run concurrently with that of the President’s.

 

Article V: DUTIES OF OFFICERS

Section 1: President

The Junior Club President shall be the responsible and Chief Administrative Officer of the Junior Club, and shall preside at all meetings of the Junior Club, the Junior Club Executive Board and the Junior Club Executive Committee. The President shall appoint all committees of the Junior Club, shall be a member ex-officio of all such committees except the Elections Committee and shall ensure that all Junior Club officers perform their respective duties in accordance with the constitution.

(a) Vacancy of Junior Club President

If the Junior Club President is unable from any cause to act, the next ranking Vice-President shall perform the duties of the Junior Club President.

 

Section 2: Vice-President

The Junior Club Vice-President shall be responsible for special projects as assigned by the President. If a Membership Committee does not exist, the VP shall be the Membership Secretary of the Junior Club and interface with the Membership Secretary of NYBCF. The Vice-President shall serve on committees designated by the President.

 

Section 3: Tournament Director (TD)

1. The Tournament Director shall be responsible to work with the NYTBF Tournament Director. This TD shall be responsible for any tournament set up in the name of the Junior Club, such as the Junior Championship Event or any special tournament that may be set up for the calendar year.

2. This committee director will have the on-site responsibility to run the tournaments. The Tournament Director shall be the on-site director, and responsible to the Junior Club President.

3. This committee director shall submit any changes in rules and regulations to the Junior Club Executive Committee for approval.

4. This committee director shall announce all tournament dates and sites, if possible, at the January or February meeting of each year. These dates may change if a problem arises. The Tournament Director shall have the responsibility of keeping all records of said tournaments.

 

Article VI: JUNIOR CLUB EXECUTIVE COMMITTEE

Section l: Executive Committee

There shall exist in the Junior Club an Executive Committee which shall consists of the Officers and Immediate Past President.

 

Section 2: Special Offices

The Junior Club President, with the approval of the Executive Committee, may create other offices as deemed necessary.

 

Section 3: Vacancies

Any vacancy existing in any Junior Club officer position may be filed by an appointment by the Junior Club President for the remainder of the term with the approval of the Executive Committee.

 

Section 4: Executive Committee Meetings

The Junior Club Executive Committee must hold meetings as needed for the purpose of transacting Junior Club business.

 

Section 5: Fiduciary Responsibility

The Junior Club Executive Committee shall have the fiduciary responsibility to members of the Junior Club, and shall be required to approve a budget, and shall be required to approve any expenses in excess of amounts budgeted.

 

Section 6: Removal from Office

Should an officer prove unsatisfactory in the position, they may be removed by a 2/3rds majority vote of the Junior Clubs Executive Board or by request of a parent or by the NYTBF Youth Director.

 

Article VII: COMMITTEE’S

Section 1: Committee Directors

The Junior Club President with the approval of the Junior Club Executive Committee may appoint the following committee directors:

a. Audit

b. Budget

c. Environmental

d. Membership

e. Promotional

f. Public Relations

 

Section 2: Committee Purposes

a. Audit Committee

There may be an Auditing Committee consisting of not less than three (3) members, of which the Treasurer of the Junior Club shall be one (l) of the members. The committee will have the responsibility of auditing the books of the Junior Club and reporting its findings in writing, to the Junior Club President and Junior Club Executive Committee. This report will be done on an annual basis.

 

b. Budget Committee

There may be a Budget Committee consisting of not less than three (3) members, of which the Treasurer of the Junior Club shall be one (l) of the members. The committee will have the responsibility to submit a budget to the Junior Club President and Junior Club Executive Committee for approval. Such report shall entertain all of the Junior Club expenses and shall provide for the Junior Club fiduciary responsibilities.

 

c. Environmental Committee Director

This committee director may act in the best interests of the Junior Club on any conservation and/or environmental project as the need arises. It will also be the responsibility of this committee director to assist member Chapters on issues in their areas in any way possible. This committee director shall bring any issues or requests to the attention of the Junior Club Executive Committee for approval or action.

 

d. Membership Secretary

The Junior Club Membership Secretary shall keep a full and accurate record of all the members of the Junior Club. The Membership Secretary shall submit a list of members in good standing to the Executive Board for the purpose of voting. The Membership Secretary shall notify each Chapter of their responsibilities to the Junior Club and interface with the NYTBF Membership Secretary.

 

e. Promotional Committee Director

This committee director may act as a liaison between the Junior Club and the NYTBF Promotional Director. This committee director may be responsible for securing promotional products to be utilized by the Junior Federation as part of the prize schedule at Junior Federation tournaments and any other Junior Federation activities, if possible.

 

f. Public Relations Committee Director

This committee director shall act as a liaison between the Junior Club and the Public Relations Director of NYTBF and the media and/or public. This committee director may be responsible for securing media coverage for the Junior Club tournaments and/or any other activities, if possible. This committee director may also be responsible for obtaining or submitting fund raising ideas to the Junior Club President and the Junior Club Executive Committee.

 

Section 3: Other Committees

The Junior Club President, with the approval of the Executive Committee, shall appoint any other committee/s as deemed necessary to operate the Junior Club.

 

Article VIII: MEETINGS

Section 1: General Meetings

General membership meetings of the Junior Club shall be held at least (TBD) times. A notice of meeting date and location will be sent to each Club President or Representative one month prior to the meeting date. The notice will include a “RSVP” allowing the Executive Committee to determine approximate attendance. The scheduled meeting will be held at the discretion of the Executive Committee based on anticipated attendance. It is the responsibility of the Club President or Representative to return the “RSVP” by the appointed deadline.

 

Section 2: Meeting Process

Meetings shall be conducted in accordance with Parliamentary procedures in-so-far as it does not conflict with the constitution of the Junior Club.

 

Article IX: INTERPRETATION AND CHANGE OF THESE BY-LAWS AND THE CONSTITUTION

Section 1: Guidance and Precedence

By-laws are promulgated as a matter of guidance and precedence to efficiently administer the affairs of the Junior Club. By-laws must not be inconsistent with the general provisions of the constitution but may contain articles which, due to geographical, or membership makeup, present problems particular to themselves.

 

Section 2: By-law Interpretation

Interpretation of the meaning of this constitution shall be made by the presiding officer who shall render a decision subject to appeal to the members present, and such decision shall be recorded as a precedent for future guidance.

 

Section 3: Modification of Constitution and By-laws

Any changes in the by-laws shall be made by a 2/3rds majority of the Junior Clubs Executive Board present at any open meeting of the Junior Club. Proposed by-law changes must be submitted in writing to the Executive Committee a minimum of seven (7) days prior to the open meeting. The member proposing a by-law change must be in attendance to propose said revisions. The by-laws should consist of items which will not conflict with the constitution of the Junior Club.

Section 4: Removal of Membership

(a) Causes for Removal or Suspension of Club Membership

1. Failure to pay dues,

2. Failure to attend 50% of Club meetings,

3. Failure to participate in 50% of Clubs community campaigns, fundraising events and/or promotional activities,

4. Any action that would dishonor and/or disgrace the Club or TBF

Section 5: Dissolving the Junior Club

Upon the dissolution of the organization, assets shall be distributed for one or more exempt purposes within the meaning of section 501 (c) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose.  Any such assets not disposed of shall be disposed of by the Court of Common Pleas of the county in which the principal office of the organization is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.

 

Article X: JUNIOR CLUB ELECTIONS

The election process for the Junior Club has to be defined.

 

Article XI: MISCELLANEOUS

Section 1: Junior Club Treasury Procedures;

(a) Junior Club Calendar Year

The year shall be from January 1st until December 31st.

 

(b) Fund Withdrawals by Check

No withdrawal or expenditure of Junior Club funds may be made without the signature of one (1) officer of the Junior Club.  All payments for Junior Club expenses shall be made by check and such document should be filed under the Junior Clubs permanent records.

 

(c) Treasurer Voucher

No Junior Club fund will be extended to any member of the Junior Club without an authorized voucher.

 

Article XII: AMENDMENTS

(a)  The Good Ole Boys Junior Bassmasters is organized exclusively for charitable, religious, educational, and/or scientific purposes under section 501 (c) (3) of the Internal Revenue Code.

(b)  No part of the net earnings of the organization shall inure to the benefit of, or be distributable to, its members, trustees, officers or other private persons, except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in the purpose clause hereof.  No substantial part of the activities of the organization shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the organization shall not participate in, or intervene in (including the publishing or distributions of statements) any political campaign on behalf of any candidate for public office.  Notwithstanding any other provision of this document, the organization shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from federal income tax under section 501 (c) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or (b) by an organization, contributions to which are deductible under section 170 (c) (2) of the Internal Revenue Code, or corresponding section of any future federal tax code.

CONFLICT of IINTEREST POLICY

Article I

Purpose

The purpose of the conflict of interest policy is to protect this tax-exempt Organization’s (GOB Junior Bassmaster’s) interest when it is contemplating entering into a transaction or arrangement that might benefit the private interest of an officer or director of the organization or might result in a possible excess benefit transaction.  This policy is intended to supplement but not replace any applicable state and federal laws governing conflict of Interest applicable to nonprofit and charitable organizations.

Article II

Definitions

(a)  The Good Ole Boys Junior Bassmasters is organized exclusively for charitable, religious, educational, and/or scientific purposes under section 501 (c) (3) of the Internal Revenue Code.

(b)  No part of the net earnings of the organization shall inure to the benefit of, or be distributable to, its members, trustees, officers or other private persons, except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in the purpose clause hereof.  No substantial part of the activities of the organization shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the organization shall not participate in, or intervene in (including the publishing or distributions of statements) any political campaign on behalf of any candidate for public office.  Notwithstanding any other provision of this document, the organization shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from federal income tax under section 501 (c) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or (b) by an organization, contributions to which are deductable under section 170 (c) (2) of the Internal Revenue Code, or corresponding section of any future federal tax code.

1. Interested Person

Any director, principal officer, or member of a committee with governing board delegated powers, who has a direct or indirect financial interest, as defined below, is an interested person.

 

2. Financial Interest

A person has a financial interest if the person has, directly or indirectly, through business, investment, or family:

a. An ownership or investment interest in any entity with which the Organization has a transaction or arrangement,

b. A compensation arrangement with the Organization or with any entity or individual with which the Organization has a transaction or arrangement, or

c. A potential ownership or investment interest in, or compensation arrangement with, any entity of individual with which the Organization is negotiating a transaction or arrangement.

Compensation includes direct and indirect remuneration as well as gifts or favors that are not insubstantial.

A financial interest is not necessarily a conflict of interest.  Under Article III Section 2, a person who has a financial interest may have a conflict of interest only if the appropriate governing board or committee decides that a conflict of interest exists.

 

Article III

Procedures

1. Duty to Disclose

In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors arid members of committees with governing board delegated powers considering the proposed transaction or arrangement,

2. Determining Whether a Conflict of Interest Exists

After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists.

 

3. Procedures for Addressing the Conflict of Interest

a. An interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest.

b. The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement,

c. After exercising due diligence, the governing board or committee shall determine whether the Organization can obtain with reasonable efforts, a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest.

d. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the Organization’s best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination it shall make its decision as to whether to enter into the transaction or arrangement.

4. Violations of the Conflicts of Interest Policy

a. If the governing board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose.

b. If, after hearing the member’s response and after making further investigation as warranted by the circumstances, the governing board or committee determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective actions.

Article IV

Records of Proceedings

The minutes of the governing board and all committees with board delegated powers shall contain:

a. The names of the persons who disclosed or otherwise were found to have a financial interest in connection with an actual or possible conflict of interest, the nature of the financial interest, any action taken to determine whether a conflict of interest was present, and the governing board’s or committee’s decision as to whether a conflict of interest in fact existed.

b. The names of the persons who were present for discussions and votes relating to the transaction or arrangement, the content of the discussion, including any alternatives to the proposed transaction or arrangement, and a record of any votes token in connection with the proceedings.

Article V

Compensation

a. A voting member of the governing board who receives compensation directly or indirectly, from the Organization for services is precluded from voting on matters pertaining to that member’s compensation.

b. A voting member of any committee whose jurisdiction includes compensation matters and who receives compensation, directly or indirectly, from the Organization for services is precluded from voting on matters pertaining to that member’s compensation.

c. No voting member of the governing board or any committee whose jurisdiction includes compensation makers and who receives compensation, directly or indirectly, from the Organization, either individually or collectively, is prohibited from providing information to any committee regarding compensation.

Article VI

Annual Statements

Each director, principal officer and member of a committee with governing board delegated powers, shall annually sign a statement which affirms such person:

a. Has received a copy of the conflicts of interest policy,

b. Has read and understands the policy,

c. Has agreed to comply with the policy, and

d. Understands the Organization is charitable and in order to maintain its federal tax-exemption, it must engage primarily in activities which accomplish one or more of its tax-exempt purposes.

Article VII

Periodic Reviews

To ensure the Organization operates in a manner consistent with charitable purposes and does not engage in activities that could jeopardize its tax-exempt status, periodic reviews shall be conducted. The periodic reviews shall, at a minimum, include the following subjects:

a. Whether compensation arrangements and benefits are reasonable, based on competent survey information, and the result of arm’s length bargaining.

b. Whether partnerships. joint ventures, and arrangements with management organizations conform to the Organization’s written policies, are properly recorded, reflect reasonable investment or payments for goods and services, further charitable purposes and do not result in inurnment, impermissible private benefit or in an excess benefit transaction.

Article VIII

Use of Outside Experts

When conducting the periodic reviews as provided for in Article VII, the Organization may, but need not, use outside advisors.  lf outside experts are used, their use shall not relieve the governing board of its responsibility for ensuring periodic reviews are conducted.
